David A. Brager
PRESIDENT AND CHIEF EXECUTIVE OFFICER

David A. Brager was selected to be Chief Executive Officer of Citizens Business Bank in March 2020. CVB Financial Corp. (“CVBF”), the holding company for Citizens Business Bank, is one of the 10 largest bank holding companies headquartered in California with over $16 billion in assets. CVBF trades on the NASDAQ stock exchange under the symbol ‘CVBF’. The Bank is consistently recognized as one of the top performing banks in the nation. The Bank has made money in 181 consecutive quarters and paid a cash dividend in 131 consecutive quarters. CVBF was ranked as one of the “Top 4 Banks in America” for four consecutive years according to Forbes’ Best Banks in America 2022.

David’s professional career incorporates over 35 years of banking experience with an extensive background in management, commercial lending, business planning, sales, and operations. Prior to his promotion to CEO, David served as Executive Vice President of the Sales Division, overseeing all Business Financial Centers across the Bank’s footprint in California. He joined the Bank in 2003 as Manager of the Fresno Business Financial Center before becoming Senior Vice President and Regional Manager of the Central Valley Region. David is also on the Board of Directors for the Pacific Bankers Management Institute and the Western Bankers Association. He earned a Bachelor of Science in Business Administration from California State University, Fresno. He also graduated from Pacific Coast Banking School, which is in partnership with the University of Washington Graduate School of Business.

David C. Harvey
EXECUTIVE VICE PRESIDENT AND CHIEF OPERATING OFFICER

David Harvey, Executive Vice President and Chief Operating Officer, joined the Bank in December of 2009 as a seasoned bank operations professional with experience in commercial loan servicing, loan documentation, foreign exchange, payment operations, cash management, information technology, budgeting, process improvement, vendor management, and treasury services. He began his banking career in 1990 with First Nationwide Bank in Sacramento, where he managed the development of cash management services including ACH, Wires, and Lockbox with a focus on middle-market business banking. In 2000, Dave was hired by Bank of the West, where he ran various Operations Departments and, most recently, served as Executive Vice President of the Commercial and Treasury Services Division.

Mr. Harvey received his Bachelor of Science Degree in Business Administration and Accounting from California State University at Sacramento. He is also a graduate of Pacific Coast Banking School. He is a Certified Treasury Professional and a member of the Association for Financial Professionals and also serves on the WesPay Board of Directors.

E. Allen Nicholson
EXECUTIVE VICE PRESIDENT AND CHIEF FINANCIAL OFFICER

E. Allen Nicholson is the Executive Vice President and Chief Financial Officer for Citizens Business Bank. Mr. Nicholson’s professional career encompasses over 25 years of financial leadership experience. Allen started his career as a certified public accountant and auditor with Coopers & Lybrand LLP. Thereafter, for the next 13 years, Mr. Nicholson served in various finance roles at Mellon Financial and its successor, BNY Mellon. He concluded his career at BNY Mellon as the Chief Financial Officer of Mellon 1st Business Bank and as the Chief Financial Officer of BNY Mellon Wealth Management’s National Banking Business Line.

Following the sale of Mellon 1st Business Bank to U.S. Bank Corp. in 2008, Mr. Nicholson joined 1st Enterprise Bank as its Chief Financial Officer. As a de novo, the bank grew to approximately $800 million in assets. Mr. Nicholson left 1St Enterprise Bank in late 2014, in connection with its acquisition by CU Bancorp. Prior to joining CVB Financial Corp. and Citizens Business Bank in June of 2016, he served as Executive Vice President and Chief Financial Officer of Pacific Premier Bank and its holding company, Pacific Premier Bancorp Inc.

Mr. Nicholson received his Bachelor’s Degree in Accounting from the University of Dayton and his MBA from Virginia Tech.

David F. Farnsworth
EXECUTIVE VICE PRESIDENT AND CHIEF CREDIT OFFICER

David Farnsworth is the Executive Vice President and Chief Credit Officer for Citizens Business Bank. He started his banking career over 35 years ago and has been employed in credit management and line positions since 1984. Mr. Farnsworth began his employment with Key Bank and over a sixteen-year period, progressed to Senior Vice President and Regional Credit Risk Manager. Thereafter, he held senior credit management positions with US Bank and AmSouth Bank. Most recently he was Executive Vice President, Global Risk Management and National CRE Risk Executive at BBVA Compass in Denver, Colorado.

Mr. Farnsworth received his Bachelor’s Degree in Accounting and Business Administration from Utah State University.

Richard H. Wohl
EXECUTIVE VICE PRESIDENT, GENERAL COUNCEL

Richard H. Wohl is the Executive Vice President and General Counsel of CVB Financial Corp. and Citizens Business Bank. Over the past twenty-five years, he has served in a variety of senior legal and business roles with banking and finance companies, including Indymac Bank and First Republic Bank. In the earlier stages of his career, he served as a law clerk to the Honorable Dorothy Nelson of the U.S. Court of Appeals for the Ninth Circuit, held the positions of Acting Assistant Legal Adviser and Attorney Adviser for East Asia and the Pacific at the U.S. Department of State, and worked as an attorney in the Institutional Lending Group at the law firm of Morrison & Foerster.

Richard received his Bachelor of Arts Degree in History (with distinction) from Stanford University and his Juris Doctor Degree (with honors) from Harvard Law School, where he was an editor of the Law Review. He is a member of the Bar in the states of California and New York. He serves as a designated member of the Financial Institutions Committee of the Business Law Section of the California State Bar, and he is a Certified Mortgage Banker.

Hal W. Oswalt
CHAIRMAN, CVB FINANCIAL CORP.

Hal W. Oswalt was appointed as Chairman of the Board effective May 2022. Hal has been a director of CVB Financial Corp. and Citizens Business Bank since January 2014. Mr. Oswalt spent 16 years as a commercial banker in Oklahoma, where he served as President, CEO and Director of community banks in Oklahoma City and Tulsa. He has extensive experience working in the financial consulting industry where his roles have included serving as Managing Director of Global Consulting Services for an international IT software and outsourcing provider, Managing Director of Sheshunoff Consulting Services, President of Brintech, Inc., President of SC+S Risk Management Services and President of Oswalt Consulting. Mr. Oswalt has managed consulting projects throughout the United States, Europe, Asia, and Australia. He earned a B.S. in Business Management and an M.B.A. from Oklahoma State University. He is also a graduate of the University of Wisconsin’s Graduate School of Banking.

Mr. Oswalt is Chairman of the Compensation Committee as well as a member of the Audit Committee and the Nominating & Corporate Governance Committee of CVB Financial Corp. He is also a member of the Balance Sheet Management Committee, the Risk Management Committee, the Credit Committee, and the Trust Services Committee of the Citizens Business Bank Board. Mr. Oswalt’s qualifications to sit on the CVB and CBB Boards include his extensive background in both commercial banking and financial consulting, and his particular expertise in strategic planning, cost management, and organizational change management.

George A. Borba
VICE CHAIRMAN, CVB FINANCIAL CORP.

George A. Borba, Jr. is Vice-Chairman of the Board and has served on our Board since 2012. Mr. Borba, a dairy farmer, became a partner in George Borba & Son Dairy, L.P. in 1990. He is currently President of Belonave Dairy and 5 Mile Ranch LLC, both located in Bakersfield, California. Mr. Borba earned a B.S. in Agricultural Business Management from the California Polytechnic University in San Luis Obispo. He has served on various boards in San Bernardino and Kern Counties and is active in the Bakersfield community. Currently, Mr. Borba serves as a Board member of Bethany Homeless Shelter and the Alliance Against Family Violence.

Mr. Borba is the Chairman of the Balance Sheet Management Committee, a member of the Credit Committee, and the Risk Management Committee of Citizens Business Bank. He is also a member of the Compensation Committee and the Nominating and Corporate Governance Committee of CVB Financial Corp. Mr. Borba brings to the Board a deep understanding of the dairy and agricultural industries, which are key components of Citizens Business Bank's loan portfolio, as well as strong connections within the business community in the Central Valley of California, which is an important region for Citizens Business Bank's current and future growth.

Stephen A. Del Guercio
DIRECTOR

Stephen A. Del Guercio has served on our Board since 2012. Mr. Del Guercio is presently a partner with the law firm of Demetriou, Del Guercio, Springer & Francis, LLP. He was admitted to the California Bar in 1986. His practice areas include real estate and corporate transactional law, serving mid-sized businesses and high net worth individuals. He received his B.A. from the University of Southern California, graduating magna cum laude in 1983, and he received his J.D. from the University of Southern California Law School, graduating Order of the Coif in 1986. Mr. Del Guercio served on the City Council of the City of La Canada Flintridge from 2001 to 2013, including three one-year terms as Mayor. He is also involved with various community and charitable organizations in the greater Pasadena and Los Angeles areas.

Mr. Del Guercio is a member of the Audit Committee, the Compensation Committee, and the Nominating and Corporate Governance Committee of CVB Financial Corp. He is also the Chairman of the Risk Management Committee and a member of the Balance Sheet Management Committee and the Trust Services Committee of the Citizens Business Bank Board. Mr. Del Guercio’s qualifications to sit on the Board include his legal and financial experience and his extensive contacts in the business community within which Citizens Business Bank operates.

Raymond Vincent O’Brien III
DIRECTOR

Raymond V. O’Brien III was previously Chairman of the Board and has served on our Board since 2012. Mr. O’Brien has an extensive background in both manufacturing and banking. Mr. O’Brien began his professional career in banking in 1979 with Chase Manhattan Bank and moved to 1st Business Bank in 1983. In 1988, he left the banking profession and became CEO and owner of I.L. Walker, a Los Angeles-based manufacturing company. Over the next two-plus decades, Mr. O’Brien owned and led several manufacturing companies. He is currently the Chief Executive Officer and owner of Cal Plate, Inc., based in Artesia, CA. Mr. O’Brien was a founding director of American Business Bank in 1997 and served as a director at that institution until 2012. Mr. O’Brien earned his B.B.A. in Finance from the University of Notre Dame in 1979. He is an active“49er” member of the Young Presidents’ Organization.

Mr. O’Brien is a member of the Audit Committee, Nominating & Corporate Governance Committee, and the Compensation Committee for CVB Financial Corp. He is the Chairman of the Credit Committee, a member of the Balance Sheet Management, Trust Services Committee, and Risk Management Committee of the Citizens Business Bank Board. Mr. O’Brien’s qualifications to sit on our Board include his operational and financial expertise gained from the successful operation of a number of business entities, as well as his direct experience as a banker and bank director.

Anna Kan
DIRECTOR

Anna Kan was appointed as a director of CVB Financial Corp. and Citizens Business Bank effective July 28, 2016. Ms. Kan served as the President and CEO of privately held Formosa Meat Company (dba Golden Island Jerky) from 1997 to 2013. Under her leadership, the company achieved seventeen consecutive years of growth and was known for innovation. In 2013, Ms. Kan negotiated a successful sale of the company to Hillshire Brands.

Today, Ms. Kan is the CEO of Mustard Seed Enterprises, Inc., a private company with investments in several start-up firms. From 2016 to 2021, she served as Chairwoman of the Board of California Manufacturing Technology Consulting (CMTC), the largest Manufacturing Extension Partnership center in the U.S. which, in partnership with U.S. Department of Commerce, is dedicated to serving and promoting U.S. manufacturing. Ms. Kan earned her B.A. in communication studies from the University of Iowa and her MBA from Kellogg School of Management, Northwestern University.

Ms. Kan is a member of the Audit Committee, the Compensation Committee, and the Nominating and Corporate Governance Committee of CVB Financial Corp. She is also a member of the Balance Sheet Management Committee, the Risk Management Committee and the Chair of Trust Services Committee of the Citizens Business Bank Board. Ms. Kan’s qualifications to sit on the CVB and CBB Boards include her organizational and strategic planning expertise, together with her experience in innovation, growth strategies and customer insight.

Jane Olvera Majors
DIRECTOR

Jane Olvera Majors was appointed as a director of CVB Financial Corp. and Citizens Business Bank effective February 10, 2021. Ms. Olvera Majors is an experienced advertising, marketing, and public relations professional who has self-started four businesses and two non-profits. In 1994, Ms. Olvera Majors founded JP Marketing, and serves as President of her region-leading advertising agency based in Fresno, California that has been named Best Advertising Agency eight years in a row. She provides clients with competitive insights and tactical communication plans and implementation, particularly for challenging or vulnerable populations. She is also a founding partner of Windsong Productions, a video production company, and TMD Innovations, a start-up incubator. Ms. Olvera Majors has a B.A. in Speech Communication and a pending thesis for an M.A. in Organizational Communication from California State University, Fresno. Her numerous professional awards include “Silver Award for Industry Contributions” by The Advertising Federation and “Torch Award for Ethics” by The Better Business Bureau. Ms. Olvera Majors is a member of the Public Relations Society of America and the Fresno State Bulldogs Alumni Association, and is a former Chair of the Institute for Family Business and former Vice Chair of Valley PBS.

Ms. Olvera Majors is a member of the Audit Committee, Compensation Committee and Nominating and Corporate Governance Committee of CVB Financial Corp. She is also a member of the Balance Sheet Management Committee, Risk Management Committee and Trust Services Committee of Citizens Business Bank. Ms. Olvera Major’s qualifications to sit on our Board include her extensive experience in providing brand guidance, messaging research and development, sales advice, multi-platform media strategies, and diversity, equity, and inclusion sensitive marketing strategies to a wide variety of organizations to help accelerate their growth and expansion. She also has strong connections with the business community in the Central Valley of California, which is a key region for Citizens Business Bank.

Kimberly Sheehy
DIRECTOR

Kimberly Sheehy was appointed as a director of CVB Financial Corp. and Citizens Business Bank on June 15, 2022. Ms. Sheehy is a seasoned financial executive with more than 30 years of successful experience across the telecommunications, technology, SaaS, data center, software development and REIT industries. Throughout her distinguished career as an executive, she held senior leadership positions, including the position of CFO at StackPath from 2015 to 2017, and the position of CFO at CyrusOne from 2012 to 2015, and she worked for 16 years with integrated communications provider Cincinnati Bell, where she rose to the position of Vice-President of Finance, Investor Relations and Treasurer from 2007 to 2012. She began her career as a Senior Staff Auditor and Tax Manager with Ernst & Young.

Ms. Sheehy currently serves as an independent board member and chair of the respective board audit committees at Switch Inc., Carlotz and Evolv Technologies. She holds a B.S. in Accounting from the University of Cincinnati and is a Certified Public Accountant. In 2013, she was named CFO of the Year by the Dallas Business Journal.

Ms. Sheehy is Chair of the Audit Committee, and a member of the Compensation Committee and Nominating and Corporate Governance Committee, of CVB Financial Corp. She is also a member of the Balance Sheet Management Committee, the Risk Management Committee and the Trust Services Committee of Citizens Business Bank. Ms. Sheehy’s qualifications to sit on our Boards include her expertise in finance, accounting and tax matters as well as her work as a director of two leading technology companies.
